2013 · GS Paper 2 · Q8 · 10 marks

The product diversification of financial institutions and insurance companies, resulting in overlapping of products and services strengthens the case for the merger of the two regulatory agencies, namely SEBI and IRDA. Justify.

In short

Products such as ULIPs, pension plans and conglomerate bancassurance blur the line between markets and insurance, so a merged SEBI-IRDA regulator would end arbitrage and protect investors uniformly. The FSLRC (2013) proposed a Unified Financial Agency, and the Forward Markets Commission merged into SEBI in 2015.

Introduction
The 2010 ULIP turf war, in which SEBI barred 14 insurers and IRDA told them to carry on until an ordinance intervened, showed that blended products have outgrown separate regulators for markets and insurance.
How Product Diversification Creates Overlap
•

Hybrid products

A ULIP combines life cover with a market-linked fund, so it answers to insurance law yet competes directly with SEBI-regulated mutual funds.

•

Financial conglomerates

Groups such as SBI run a bank, a life insurer and a mutual fund and sell all three at one counter.

•

Retirement products

Insurer pension plans, retirement mutual funds and the NPS chase the same saver under different rulebooks.

•

Insurers in markets

LIC is among the largest institutional investors in Indian equities.

Why the Overlap Justifies a Merger
•

Ending arbitrage

After SEBI abolished mutual fund entry loads in 2009, high-commission ULIPs became the favoured sale, a gap one regulator would close.

•

Uniform protection

Products that look alike to the buyer would carry the same disclosure, suitability and grievance rules.

•

Systemic oversight

The FSDC (2010) only coordinates, while a merged regulator could supervise conglomerates directly.

•

Expert backing

The FSLRC (2013) proposed a Unified Financial Agency, and the Forward Markets Commission merged into SEBI in 2015.
